These terms apply to your use of the Total Solutions IT website and, unless a separate written agreement says otherwise, to the products and services we provide. If there is a conflict between these terms and a signed service agreement or quote, the agreement or quote prevails.
Our services
We provide managed IT, cyber security, business phone systems, internet, cloud services, website services and related products and support. The scope of each service is described in our quote, proposal or service agreement. We will provide services with due care and skill.
Quotes, fees and payment
Quotes are valid for the period stated on them. Prices are in Australian dollars and, unless stated otherwise, exclude GST. We will invoice for services and products as set out in your quote or agreement. Payment terms are shown on each invoice. If an invoice is overdue, we may charge interest and suspend services after giving you notice, as the law allows.
Your responsibilities
To help us deliver services, you agree to provide accurate information and timely access to people, premises, systems and accounts; keep your own account credentials secure; tell us promptly about faults and security incidents; and make sure you have the right to use any software or content you ask us to install or manage.
Third-party products and services
Many services we provide rely on third parties, such as Microsoft, carriers, nbn, Starlink and hardware manufacturers. Their terms and conditions apply to those products and services, and we are not responsible for their outages, changes or discontinuation. We will tell you about material changes we are aware of.
Warranties and Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those guarantees. Where the law allows, our liability for a failure to comply with a consumer guarantee is limited, at our option, to resupplying the services or paying the cost of having them resupplied.
Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of data or loss of business opportunity. Our total liability under or in connection with a service is limited to the amount you paid us for that service in the 12 months before the claim arose, unless your service agreement says otherwise. Nothing in these terms limits liability that cannot lawfully be limited.
Confidentiality and privacy
Each party must keep the other's confidential information confidential and use it only for the purposes of the services. We handle personal information in line with our Privacy Policy.
Intellectual property
We keep ownership of our own intellectual property, including website content, designs and documentation. You keep ownership of your data. Third-party software remains subject to its own licence terms.
Using this website
You may use this website for lawful purposes only. The content is provided for general information and does not replace tailored advice. We try to keep it accurate and current but do not guarantee that it is complete or error free.
Termination
Either party may end a service in line with the notice period in the quote or agreement. We may suspend or end a service immediately if you materially breach these terms and do not fix the problem within a reasonable time after we notify you. You remain responsible for fees incurred up to the termination date.
Governing law and contact
These terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria. We may update these terms from time to time, and the current version will be published on this page.
